Terms of Service

By creating an account or using the NexGate API, dashboard, or any associated service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using NexGate on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

These Terms govern all access to and use of NexGate, including personal accounts and organization accounts. NexGate is operated by the NexGate team ("we", "us", "our").

NexGate is an OpenAI-compatible API gateway that routes requests to third-party large language model providers (including but not limited to OpenAI, DeepSeek, xAI, Meta, Moonshot, and others) on your behalf. NexGate does not train models, own model weights, or operate inference infrastructure directly.

Access is provided via API keys. You may use any OpenAI-compatible client or SDK by pointing it at the NexGate endpoint and using your NexGate API key. Model availability, capabilities, and performance depend on upstream providers and may change without notice.

You must register for an account to use the Service. You agree to:

• Provide accurate, complete, and current information during registration.

• Maintain the security of your account credentials and API keys.

• Notify us immediately at support@nexgate.app of any unauthorized access.

• Not share your account with others or allow others to use your API keys.

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being misused.

NexGate operates on a prepaid credit system. Credits represent USD-denominated usage value. All usage is deducted from your credit balance in real time at the price displayed for the selected model at the time of the request.

Purchasing credits: Credits are purchased through our payment processor (DodoPayments). Prices are shown in USD. Taxes may apply depending on your location.

Credit validity: Paid credits do not expire, except where required by law or as a result of account suspension for abuse or fraud.

Promotional credits: Free or promotional credits (including sign-up bonuses) are non-transferable, non-refundable, and may have expiry dates or usage restrictions.

Insufficient balance: Requests will fail with a 402 error if your available credit balance is insufficient. We do not offer credit extensions or advance credit.

Price changes: Model sell prices may change when upstream provider costs change. The price charged is the NexGate sell price at the time of the request, not at the time of purchase.

Unused paid credits are generally non-refundable. We may issue refunds or credit adjustments at our sole discretion in cases such as:

• Verified billing errors (e.g. double-charge).

• Verified service outages of significant duration that prevented use.

• Cases where applicable consumer protection laws require a refund.

To request a refund, contact support@nexgate.app within 30 days of the relevant transaction with your payment reference. We will respond within 5 business days.

Promotional and bonus credits are never refundable or transferable to cash.

You agree not to use the Service to:

• Violate any applicable law or regulation, including data protection, export control, and intellectual property law.

• Generate, store, or transmit content that is illegal, harmful, harassing, abusive, or fraudulent.

• Attempt to circumvent rate limits, credit checks, authentication, or other access controls.

• Reverse engineer, decompile, or extract the NexGate system, infrastructure, or proprietary logic.

• Resell or redistribute NexGate API access to third parties without explicit written permission.

• Use the Service to train machine learning models or build competing products that replicate core NexGate functionality without authorization.

• Violate the usage policies of upstream model providers whose models you access through NexGate.

We reserve the right to suspend or terminate access for any violation of these rules, with or without notice, depending on severity.

NexGate may apply rate limits on requests per minute, tokens per minute, or concurrent requests, depending on your account tier. These limits exist to ensure fair access for all users and system stability.

We reserve the right to throttle or block usage patterns that degrade service quality for other users, even if such usage does not technically violate other provisions of these Terms.

NexGate supports organization accounts, which allow multiple users to share a credit balance and API keys under a single entity. The organization owner is responsible for all activity by organization members and for ensuring member compliance with these Terms.

Organization admins may invite, manage, and remove members. The owner may transfer ownership. Removing a member does not automatically revoke their personal NexGate account.

Shared credits belong to the organization account. If an organization is dissolved or the owner's account is terminated for cause, shared credits are not automatically refunded.

Your NexGate API keys are equivalent to passwords. You are solely responsible for keeping them secure. We hash all API keys before storage and cannot recover a key once it is issued — you may only revoke and generate a new one.

If you believe an API key has been compromised, revoke it immediately from your dashboard and generate a new one. We are not liable for usage charges incurred through a leaked or misused key, provided the key was validly issued to your account.

The Service is provided "as is" and "as available". We make commercially reasonable efforts to maintain uptime and reliability, but we do not guarantee uninterrupted or error-free access.

To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy, completeness, or quality of model outputs, which are generated by third-party providers.

To the maximum extent permitted by law, NexGate and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising under these Terms shall not exceed the amount you paid to NexGate in the 30 days preceding the event giving rise to the claim.

You agree to indemnify, defend, and hold harmless NexGate and its team from any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) content generated or transmitted through your account.

NexGate and its logos, designs, software, and documentation are proprietary to us. These Terms do not grant you any rights to use our trademarks, brand names, or intellectual property except as needed to use the Service as described.

You retain ownership of any content you submit through the API. By using the Service, you grant us a limited, non-exclusive license to process your inputs and outputs solely to provide the Service.

You may close your account at any time by contacting support@nexgate.app. Account closure does not entitle you to a refund of unused credits, except where required by law.

We may suspend or terminate your access immediately if you violate these Terms, engage in fraud or abuse, or if required by law. Upon termination, your API keys will be revoked and access to the Service will cease.

Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will survive.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you via email or dashboard notice.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with a change, you must stop using the Service and may close your account.

These Terms are governed by applicable law. Any disputes arising under these Terms shall first be attempted to be resolved informally by contacting support@nexgate.app. If informal resolution fails, disputes shall be resolved through binding arbitration or the courts of applicable jurisdiction, depending on your location and applicable law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
